📋 By using NxtVision's services or website, you agree to the following terms. Please read carefully before proceeding.

1. Acceptance of Terms

By accessing or using NxtVision IT Support Pvt. Ltd.'s website, software products, or services, you agree to be bound by these Terms and Conditions and our Privacy Policy. If you do not agree to these terms, please discontinue use immediately.

2. Services Description

NxtVision provides a range of IT services and software products including:

Custom web and mobile application development (Android & iOS)
CRM software — JugnuCRM
HR management systems — Jugnu HRM
Job portal platform — TalentVault
eKYC & Research Panel solutions
WhatsApp Business API services — WA Services
Enterprise connectivity — WeConnect365
SEO & digital marketing services
IT support and consulting

Specific deliverables, timelines, and costs are defined in individual service agreements or Statements of Work (SOW).

3. Intellectual Property

All custom code, designs, and deliverables produced exclusively for a client transfer to the client upon receipt of full payment. NxtVision retains rights to general frameworks, libraries, tools, and methodologies used in development. Our proprietary software products (JugnuCRM, Jugnu HRM, TalentVault, WeConnect365) are licensed, not sold — all intellectual property remains with NxtVision.

4. Payment Terms

Custom projects: 50% advance before work begins, milestone payments as agreed, balance on final delivery
Retainer services: Monthly invoicing, payment due within 15 business days of invoice
Product licences: Annual or monthly as per selected plan, payable in advance
Late payment: Overdue invoices attract interest at 2% per month after 30 days

5. Client Responsibilities

Provide timely feedback, approvals, and required content to avoid project delays
Ensure all third-party content, images, and assets shared are legally licensed
Maintain strict confidentiality of any credentials, API keys, or access details provided
Not use NxtVision services for any unlawful, unethical, or prohibited purpose
Designate a primary point of contact for all project communications

6. Confidentiality

Both parties agree to maintain strict confidentiality of all proprietary, technical, and business information exchanged during the engagement. NxtVision will not disclose client business information, requirements, or data to any third party without explicit written consent, except where required by law.

7. Limitation of Liability

NxtVision's total liability for any claim arising from our services shall not exceed the total fees paid for the specific service in question during the preceding 3 months. We are not liable for indirect, incidental, consequential, or punitive damages. We do not guarantee specific business outcomes, search rankings, revenue, or user growth from our services.

8. Warranty

NxtVision warrants that all services will be performed professionally and in accordance with industry standards. We provide a 30-day bug-fix warranty post-delivery for custom development projects, covering defects directly attributable to our code. This warranty does not cover issues arising from client modifications, third-party integrations, or hosting environment changes.

9. Termination

Either party may terminate a service agreement with 30 days written notice. Upon termination, the client is responsible for payment of all work completed up to the termination date. NxtVision reserves the right to immediately suspend or terminate services in the event of non-payment, breach of these terms, or any conduct deemed harmful to NxtVision or its clients.

10. Force Majeure

Neither party shall be held liable for delays or failures in performance resulting from circumstances beyond their reasonable control, including natural disasters, government actions, internet outages, or other force majeure events. The affected party must notify the other within 5 business days of such an event.

11. Governing Law & Dispute Resolution

These Terms are governed by the laws of India. Any disputes arising from these terms or our services shall first be attempted to be resolved through good-faith negotiation. If unresolved, disputes shall be referred to arbitration in Indore, Madhya Pradesh, India, under the Arbitration and Conciliation Act, 1996.

12. Modifications to Terms

NxtVision reserves the right to modify these Terms at any time. Significant changes will be communicated via email or website notice. Continued use of our services following notification of changes constitutes acceptance of the updated terms.
